Affiliate Partner Agreement

1. Introduction
This Affiliate Partner Agreement ("Agreement") is a contract between you ("Affiliate," "Partner," "you") and Karo Simple ("we," "us," "our," "the Company"), governing your participation in the Karo Simple Affiliate & Referral Program ("Program").
By registering as an affiliate partner on our platform, checking the acceptance box, and submitting your application, you agree to be legally bound by this Agreement.
Karo Simple reserves the right to update, modify, or replace this Agreement at any time as our business needs evolve. Continued participation in the Program after any change constitutes your acceptance of the revised terms. We will always display the "Last Updated" date at the top of this document, and material changes will be communicated to you by email or dashboard notification with a minimum of 30 days' notice before taking effect.
2. Eligibility
2.1. You must be at least 18 years of age to participate in this Program.
2.2. The following individuals and entities are not eligible to join or participate in the Program under any circumstance:
- Agency Owners registered on the Karo Simple platform
- Any business account associated with or managed under a Karo Simple Agency account
- Any Karo Simple employee, contractor, or immediate family member of company staff, unless separately authorized in writing
2.3. Karo Simple reserves sole discretion to approve, reject, suspend, or terminate any affiliate application without providing a detailed reason, though we will act in good faith and in accordance with this Agreement.
2.4. You confirm that all information provided during registration — including your name, contact details, PAN number, government identification, and bank account details — is accurate, current, and belongs to you.
3. How the Program Works
3.1 Two Categories of Partners
This Program serves two distinct categories, each with its own reward structure:
- (a) Influencer / Affiliate Partners — earn cash commission, paid via bank transfer.
- (b) Business Owner Referrals — earn Karo Coins (platform credits), redeemable only within the Karo Simple platform. Business Owner referrals are governed by this Agreement in relevant part, along with separate in-app terms shown at the time of referral.
3.2 Referral Tracking
When you share your unique referral link or code, and a new customer signs up and completes a purchase within 30 days of clicking your link, that sale is attributed to you, subject to the attribution rules in Section 4.
3.3 Commission Structure — Influencer / Affiliate Partners
Standard Plans (Starter and Pro): Commission is calculated as a percentage of the referred customer's first plan payment. Your percentage rate is determined by a performance-based tier system:

Your tier is recalculated at the start of every month based on your sales performance in the previous month. If you fail to meet the 10-sale threshold in a given month, your tier reduces by one level for the following month. Two consecutive months of missing the threshold resets you to the Base tier.
Agency Plan: Commission on Agency plan referrals is paid as a fixed flat amount, not a percentage, regardless of your current tier. Current flat amounts are:

Karo Simple may, at its sole discretion, set a custom commission rate or custom flat reward for a specific partner ("VIP Rate"), which will be clearly indicated on that partner's dashboard along with any applicable expiry date.
3.4 Commission Structure — Business Owner Referrals
Business Owners who refer other businesses earn Karo Coins upon the referred business's first paid plan purchase, according to the reward schedule published and updated on the platform's referral dashboard. Business Owner referral rewards apply only to Starter and Pro plan purchases by the referred business. No reward is payable for Agency plan referrals under the Business Owner referral track.
The current coin conversion rate is 2 Karo Coins = ₹1. This rate is subject to change; the rate in effect at the time of your coin balance display on the dashboard shall govern.
3.5 First Purchase Only
Commission and coin rewards under this Program are earned only on the referred customer's or business's first plan purchase. No commission or reward is payable on subsequent renewals, recharges, upgrades, or repeat purchases by the same referred party, unless Karo Simple explicitly announces a separate recurring rewards program in writing.
4. Attribution and Tracking
4.1. Karo Simple uses cookie-based tracking with a 30-day attribution window. If a visitor clicks referral links from more than one partner before completing a purchase, credit is attributed to the most recent link clicked ("last-touch attribution"), provided the purchase occurs within 30 days of that click.
4.2. Karo Simple is not responsible for lost commissions due to a referred customer clearing browser cookies, using private/incognito browsing, using ad blockers, or any other technical circumstance beyond our reasonable control that prevents accurate tracking.
4.3. In the event of a genuine dispute regarding attribution between two partners, Karo Simple will review available tracking records (click timestamps, IP data, referral codes used) and make a final determination at its sole discretion. This decision is final and binding.
5. Prohibited Conduct
5.1. You may not refer yourself, create duplicate accounts to earn self-referral commissions, or use any method to circumvent the self-referral restriction. Any such activity will result in forfeiture of the related commission and may result in account suspension or termination.
5.2. You must comply with our separately published Prohibited Promotions Policy at all times. Violation of that policy is a violation of this Agreement.
5.3. Karo Simple reserves the right to withhold, reverse, or reclaim any commission found to be the result of fraudulent activity, policy violation, or a chargeback/refund on the underlying transaction, whether discovered before or after payment has been made to you.
6. Hold Period and Payment
6.1. All earned commissions and coin rewards are subject to a 15-day hold period from the date of the qualifying transaction, during which the earning is not available for payout or redemption. This hold period allows Karo Simple to account for potential refunds, chargebacks, or cancellations on the underlying transaction.
6.2. After the hold period, and subject to internal review and approval, earnings become available in your wallet balance (for Influencer/Affiliate partners) or your coin balance (for Business Owner referrals).
6.3. Influencer/Affiliate partners may request payout once their wallet balance reaches the minimum threshold displayed on their dashboard (currently ₹1,000). Payout requests are reviewed manually by Karo Simple and, once approved, are transferred to your registered and verified bank account.
6.4. Business Owner referrals may redeem coins once their coin balance reaches the minimum threshold displayed on their dashboard (currently 500 coins). Coins may only be redeemed within the Karo Simple platform toward subscription renewals, QR reprints, AI credits, or other eligible in-platform purchases, and have no cash value and cannot be transferred, sold, or exchanged.
6.5. If a chargeback, refund, or cancellation occurs on a transaction after commission or coins have already been paid or credited to you, Karo Simple reserves the right to deduct the corresponding amount from your future earnings, wallet balance, or coin balance.
7. Tax Deduction at Source (TDS)
7.1. Karo Simple is required under Indian law to deduct Tax Deducted at Source (TDS) at the applicable rate (currently 10% under Section 194H of the Income Tax Act) on cumulative payouts to any individual affiliate partner exceeding ₹30,000 within a financial year (April to March).
7.2. By accepting this Agreement, you consent to such TDS deduction from your payouts where applicable.
7.3. Karo Simple will issue Form 16A to you annually as evidence of TDS deducted, for use in your own income tax filing. You are solely responsible for your own tax compliance and filing obligations.
8. Bank Details and KYC
8.1. You are required to provide accurate bank account details, PAN card number, and one form of government-issued photo identification (Voter ID, Passport, or Driving License) for identity verification and payout processing.
8.2. Karo Simple does not collect or require Aadhaar numbers or Aadhaar documentation as part of this Program.
8.3. You may not modify your bank account details while a payout request is under review or processing, in order to prevent fraudulent redirection of funds.
9. Term, Suspension, and Termination
9.1. This Agreement remains in effect for as long as you are an active participant in the Program.
9.2. Karo Simple may suspend or terminate your participation in the Program at any time, with or without cause, including but not limited to violations of this Agreement, fraudulent activity, or conduct harmful to Karo Simple's reputation.
9.3. You may terminate your participation at any time by contacting affiliate@karosimple.in. Upon termination, any wallet or coin balance already cleared of the hold period and approved will be honored in accordance with our standard payout process; balances still within the hold period at the time of termination may be forfeited if the termination is due to a violation of this Agreement.
10. Limitation of Liability
Karo Simple's total liability to you under this Agreement, for any reason, shall not exceed the total commission or reward amount actually owed and unpaid to you at the time the claim arises. Karo Simple is not liable for indirect, incidental, or consequential damages arising from your participation in the Program.
11. Governing Law
This Agreement is governed by the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts at Raipur, Chhattisgarh.
